These terms of use govern the sale of services available on our site, pixeljar.com and subdomains thereof.
These terms of use shall only cover the specific services subscribed to and shall not include any other services that may be performed or provided by Pixel Jar.
These terms of use apply to all the services that are displayed on our site at the time you purchased/subscribed. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide. You agree to purchase services from our site at your own risk.
When you create an account on our site, you agree to the following:
- You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and
- All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.
We reserve the right to suspend or cancel your subscription whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount of the transaction. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.
Third Party Services
Pixel Jar services may, in turn, make use of goods and services from third parties. No warranty, access, or liability is assumed in this use.
Recurring Charges and Cancelation
You have engaged in a subscription for the service you have chosen. Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel the subscription. Subscriptions may be canceled at any time and will terminate at the end of their current cycle. Subscriptions may be canceled through Pixel Jar’s customer portal (hub.pixeljar.com).
Customers paying by credit card expressly agree to have their credit card account billed for the recurring charges including any automatic renewal periods.
Refunds
No refunds are available for subscription purchases.
Confidential Information
Pixel Jar will not use your confidential information for any purposes outside of the performance of the services subscribed to or information about Pixel Jar service. We will not disclose your confidential information to any third party, aside from service providers required for the performance of the services subscribed to, without your written authorization.
Pixel Jar agrees to take all reasonable precautions to prevent any unauthorized disclosure of such confidential information including, but not limited to, limiting access to such information to individuals within its organization or our partner service providers required for the performance of the services subscribed to.
Independent Contractor Status
Subscriptions to our services shall not create any additional or implied business relationship with Pixel Jar. We are not an agent, employee or representative of your organization or of you. You have no right to direct or control the details of our work. Pixel Jar shall be responsible for paying all taxes on payments received for services.
Limitation of Liability
In no event will Pixel Jar or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the services, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising. Certain US state laws and international laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you, and you may have additional rights.
Indemnity
Except where prohibited by law, by using this site you indemnify and hold harmless Pixel Jar and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our site or your violation of these terms of use.
Consumer Protection Law
Where any consumer protection legislation in your jurisdiction applies and cannot be excluded, these terms of use will not limit your legal rights and remedies under that legislation. These terms of use will be read subject to the mandatory provisions of that legislation. If there is a conflict between these terms of use and that legislation, the mandatory provisions of the legislation will apply.
Arbitration
You and Pixel Jar agree that any dispute or controversy arising out of, relating to or in connection with the interpretation, validity, construction, performance, breach or termination of this subscription service shall be submitted to binding arbitration to be held in Orange County, California in accordance with the rules of the American Arbitration Association (the “Rules”). The decision of the arbitrator shall be final, conclusive and binding on the parties to the arbitration. Judgment may be entered on the arbitrator’s decision in any court of competent jurisdiction. The parties shall each bear their own attorney fees with respect to such Arbitration but shall share equally the other costs and expenses of arbitration.
In interpreting the terms of this service, the parties agree that the laws of the State of California shall be applicable. All suits permitted to be brought in any court shall venue in Orange County, State of California.
These terms of use contain the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes and replaces any prior discussions, agreements, proposals, understandings, whether orally or in writing, between the parties related to this service. These terms of use may be changed, modified or amended from time to time. If any provisions hereof are deemed to be illegal or unenforceable by a court of competent jurisdiction, the enforceability of effectiveness of the remainder of the terms of use shall not be affected and these terms of use shall be enforceable without reference to the unenforceable provision. No party’s waiver of any breach or accommodation to the other party shall be deemed to be a waiver of any subsequent breach.
Emergency Engagements
Pixel Jar does not provide emergency services in the regular course of subscription service work. You may request to engage emergency service for a specific issue. An emergency engagement can be activated at Pixel Jar’s earliest available opportunity for an additional charge of $1,000. This is a one-time per emergency charge, and is in addition to the service fees paid. The emergency engagement fee is incurred upon your authorization of the engagement, regardless of the duration or outcome of the work, and will be billed at our next opportunity. Pixel Jar will begin emergency work upon authorization and is not required to await payment. This additional charge moves the work to the top of our work queue and is dealt with at the fastest speed available. Please note that there is no commitment of availability outside of Pixel Jar’s normal working hours.
